Casami Terms and Conditions

Effective Date: September 25th, 2026

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Casami mobile application and related services (collectively, the "Service"), operated by Casami LLC ("Casami," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. What Casami Is (and Isn't)

Casami is a communication and activity-logging tool for families and childcare providers ("Nannies") who have already established a caregiving relationship. Casami is not a marketplace, staffing agency, or matching service — we do not help you find a nanny or a family, we do not screen, interview, recommend, or vouch for any user, and use of the Service begins only after your caregiving relationship already exists.

The Service includes, among other features: an AI-assisted onboarding interview to help personalize the app to your family's needs; Nanny Assistant, an AI chat available to Nannies that answers questions using the family's Household Handbook, schedule, and interview answers (Section 8.4); a shared activity timeline for logging photos, naps, feedings, activities, and goal progress; hour, mileage, and expense tracking for Nannies; and payment-related features described in Section 6.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to create an account, except that a prospective Nanny who is at least 15 years old may create an account, subject to the following: they must confirm their date of birth, and they cannot link with a Family (redeem a join code) until a parent or guardian completes the one-time email consent process described in our Privacy Policy. Because Stripe, our payment processor, generally requires payout-account holders to be 18 or older, a Nanny under 18 must have a parent or guardian set up and receive payouts through the guardian's own Stripe account. The Service is not directed at children, and children under 15 are not permitted to create accounts or directly use the Service. Any information about a child that appears in the Service (e.g., in a timeline entry or an onboarding interview) is submitted by a parent, guardian, or Nanny acting on their behalf — see Section 8 regarding content and privacy.

4. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date. Notify us immediately at thecasamiapp@gmail.com if you suspect unauthorized use of your account.

5. Vetting and Screening — Read This Carefully

Casami does not conduct, verify, or guarantee background checks, reference checks, credential verification, or any other screening of Nannies or families, and does not offer a background-check feature. Casami connects to your existing caregiving relationship — it does not create, vet, or endorse it.

Parents/families are solely responsible for independently vetting, screening, and supervising any Nanny they engage, whether or not that Nanny uses Casami. Casami makes no representation or warranty, express or implied, about the identity, qualifications, trustworthiness, or conduct of any user. Nothing in this Service — including activity logs, photos, ratings, or any other content — should be relied upon as a safety assurance. You use the Service, and any caregiving arrangement, entirely at your own risk.

6. Payments, Fees, and Casami Cash

6.1 Processing Fees.

6.2 Payment Processing. Payments made through the Service — including via Apple Pay or Google Pay, where offered — are processed by Stripe. Casami does not directly hold, custody, or transmit your funds; Stripe does so under its own terms and applicable licenses. By using payment features, you also agree to Stripe's terms of service.

6.3 Casami Cash. Casami Cash lets a family fund a balance that a Nanny can be reimbursed from for purchases made on the family's behalf. Funding and payouts are processed by Stripe under its own terms (see the funding fee at Section 6.1), and a Nanny must complete Stripe's account setup to receive payouts — see Section 3 if the Nanny is under 18.

6.4 Taxes. Casami is not responsible for determining, withholding, or remitting any taxes related to payments made through the Service. Nannies are independent of Casami (see Section 7) and are solely responsible for their own tax obligations, including any applicable self-employment or income tax reporting.

6.5 No Guarantee of Funds. Casami does not guarantee that any family will fund a Nanny's account or that funds will be available at any particular time.

7. Independent Relationship — Not an Employer

Casami is not the employer of any Nanny, and no employment, agency, joint venture, or partnership relationship is created between Casami and any user. Families are solely responsible for determining, and complying with, their own legal obligations as an employer (or engager of an independent contractor) under applicable federal, state, and local law, including wage and hour law, tax withholding, workers' compensation, and any required insurance. Casami provides tools to help track hours and expenses for informational convenience only; this tracking does not constitute payroll administration, tax advice, or a guarantee of legal compliance.

8. Content You Submit

8.1 Your Content. "User Content" includes photos, timeline entries, messages, and any other content you or your household submits through the Service, including content about a child.

8.2 License to Casami. You retain ownership of your User Content. By submitting it, you grant Casami a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely for the purpose of operating and improving the Service. We will not sell your User Content or use photos of children for advertising or marketing without your separate, explicit consent.

8.3 Content Involving Children. If you submit content about a child — including photos, activity logs, or information shared during the AI onboarding interview — you represent that you are the child's parent or legal guardian, or that you have the parent/guardian's permission to submit that content (e.g., as the family's Nanny). Parents control sharing and visibility settings for their family's content within the app.

8.4 AI Onboarding Interview & Nanny Assistant. The onboarding interview uses AI to ask questions and organize the information you provide about your family's needs. This information is used to personalize the Service to your household and is not used to make any automated decision that produces a legal or similarly significant effect concerning you or your family. A linked Nanny can see the Family's interview answers — household style, discipline approach, daily-routine preferences, and each child's personality and medical/health-related notes — both through Nanny Assistant, an AI chat that answers a Nanny's questions using that information along with the Household Handbook and schedule, and on the Family Info screen. The Family's specified budget or pay range is never shown to a Nanny. By submitting information through the onboarding interview, a Family acknowledges it will be visible to their linked Nanny on this basis.

8.5 Responsibility for Content. You are solely responsible for the accuracy of content you submit, including hours logged, expenses claimed, and activity entries.

9. Prohibited Conduct

You agree not to: use the Service for any unlawful purpose; misrepresent your identity or relationship to a child in your care; submit false hour, mileage, or expense entries; harass, threaten, or abuse other users; attempt to circumvent payment processing fees; upload content that infringes another's rights or that depicts a child in an unsafe or exploitative manner; or attempt to reverse-engineer, scrape, or interfere with the Service.

10. Intellectual Property

The Casami name, logo, app, and underlying technology are owned by Casami and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

11. Third-Party Services

The Service may link to or integrate with third-party services (e.g., payment processors, app stores). Casami is not responsible for the practices, content, or terms of third-party services, and your use of them is governed by their own terms and privacy policies.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CASAMI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY USER'S CONDUCT WILL MEET YOUR EXPECTATIONS OR STANDARDS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASAMI AND ITS FOUNDERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE OR ANY CAREGIVING RELATIONSHIP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CASAMI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CASAMI IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.

14. Indemnification

You agree to indemnify and hold harmless Casami and its founders, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including any dispute arising from your caregiving relationship.

15. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or that we believe is harmful to other users, us, or third parties, including a child in your care. You may stop using the Service and delete your account at any time.

16. Dispute Resolution

16.1 Agreement to Arbitrate. You and Casami agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of the Service (a "Dispute") will be resolved by binding, individual arbitration rather than in court, except as set forth below. This Section 16 is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16 (the "FAA"), and is intended to have nationwide effect: the FAA generally preempts state laws that would otherwise restrict, condition, or invalidate arbitration agreements, so this Section applies uniformly regardless of the state in which you reside or use the Service.

16.2 Exception for Sexual Assault and Sexual Harassment Disputes. Notwithstanding anything in this Section, and as required by the federal Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act of 2021 ("EFAA"), any dispute involving an allegation of sexual assault or sexual harassment may, at the election of the person alleging the conduct, be pursued in court instead of arbitration. Given that the Service is used in the context of childcare, Casami will honor this election without objection.

16.3 Delegation Clause. The arbitrator, and not any federal, state, or local court, will have exclusive authority to resolve any dispute relating to the formation, existence, validity, interpretation, scope, or enforceability of this Section 16, including whether a particular Dispute is subject to arbitration — except that the class action waiver in Section 16.6 may only be interpreted by a court, not an arbitrator (see Section 16.7).

16.4 Informal Resolution First. Before either party files an arbitration, the party must first send written notice of the Dispute to the other (to Casami at thecasamiapp@gmail.com, or to you at the contact information on your account) and attempt in good faith to resolve it informally for at least 30 days.

16.5 Arbitration Procedure. If informal resolution fails, the Dispute will be resolved by a single arbitrator through the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, available at adr.org. For claims under $10,000, you may choose whether the arbitration is conducted by telephone, videoconference, based on written submissions, or in person in the county of your residence. Casami will pay all AAA filing, administration, and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous. The arbitrator's decision will be final and binding, subject only to the limited review available under the FAA.

16.6 Class Action Waiver. YOU AND CASAMI AGREE THAT EACH MAY BRING A DISPUTE AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, collective, or representative proceeding.

16.7 Severability of the Class Action Waiver. If a court determines that the class action waiver in Section 16.6 is unenforceable as to a particular Dispute, then that Dispute (and only that Dispute) will proceed in court rather than in arbitration, and the remainder of this Section 16 will otherwise remain in effect. This Section 16 will never be interpreted to authorize class arbitration.

16.8 Coordinated/Mass Filings. If 25 or more similar arbitration demands are filed by or on behalf of individuals represented by the same or coordinated counsel within a 60-day period ("Coordinated Claims"), the parties agree to: (a) select a small number of claims (no more than 10, chosen by each side alternately) to proceed first as bellwether cases; (b) stay all other Coordinated Claims pending resolution of the bellwethers; and (c) engage in a global mediation session before any remaining claims proceed. This provision is intended to manage costs and delay for all parties in the event of a coordinated mass filing, not to deny any individual claimant their right to arbitrate.

16.9 Small Claims Carve-Out. Either party may bring an individual action in small claims court for a Dispute that qualifies, instead of arbitration, so long as the action remains in small claims court and is not removed or appealed to a court of general jurisdiction.

16.10 Opt-Out Right. You may opt out of this Section 16 entirely by sending written notice to thecasamiapp@gmail.com within 30 days of first accepting these Terms, including your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor Casami will be required to arbitrate disputes with each other, but every other part of these Terms remains in full effect. Opting out of arbitration does not affect any other terms of your relationship with Casami.

16.11 Jury Trial Waiver for Court Proceedings. To the extent any Dispute is properly brought in court rather than arbitration (including under Sections 16.2, 16.7, or 16.10), you and Casami each waive any right to a jury trial, to the extent permitted by applicable law.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes through the app or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
